Compensation and Benefits
HBA advises clients on complex and day-to-day compensation and benefits-related projects and issues. We handle compensation and benefits aspects of mergers and acquisitions, venture capital and private equity investments, and other corporate transactions. We also advise clients on employee benefit and executive compensation issues arising under employment, retention and severance agreements and on bonus plans, equity awards, ERISA plans, deferred compensation arrangements and Internal Revenue Code section 409A issues.
HBA prepares documentation and provides advice regarding pension plans, ESOPs, 401(k) plans, 403(b) plans, multiemployer plans, health plans, cafeteria plans, severance plans and other employee benefit programs. For our clients, we also submit qualified plans for Internal Revenue Service approval, assist with correction of plan failures through IRS and Department of Labor voluntary compliance programs and help implement plan mergers, spinoffs, freezes and terminations.
As part of our “Outside General Counsel” practice, HBA also drafts employee handbooks and advises clients on day-to-day compensation and benefits-related matters, including reductions in force, COBRA and employment disputes.
